Terms and Conditions

Please review the terms and conditions of your agreement with Downtown Code.

  1. Project Scope and Modifications: Downtown Code will build your website based on the specifications outlined in this proposal. Any additional features, pages, amendments, or modifications that fall outside the scope of this proposal will not be covered under the initial cost. Any such changes will require a formal change request, which may incur additional charges.
  2. Payment Terms: The total cost for the design and development services is to be paid in two installments:
    • First Installment: 50% of the total cost must be paid in advance before work begins.
    • Second Installment: The remaining 50% is due upon the completion of the project.
    Payments can be made via wire transfer, UPI, cheque, or cash. Third-party expenses such as hosting, domain registration, and content writing services are not included in the pricing and are to be borne separately by the client.
  3. Invoicing: Invoices will be issued according to the dates outlined in the pricing table provided in this proposal. Payments must be made promptly as per the terms specified in the invoice.
  4. Copyright and Ownership: Downtown Code retains the copyright to all works produced during the course of this project. The client, Roots Consultancy, will be granted a renewable annual web application service. Downtown Code reserves the right to use screenshots or visual representations of the completed project for its portfolio and promotional materials.
  5. Project Termination: In the event that the client terminates the project after the development process has begun, the initial installment paid will not be refunded. This installment covers the time and resources allocated to the project up until the point of termination.
  6. Assignment and Delegation: Downtown Code may not assign or delegate any of its rights or obligations under this agreement without the prior written consent of the client.
  7. Severability: If any provision of this agreement is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to reflect the parties' intent while all other provisions shall remain in full force and effect.
  8. Dispute Resolution: Any disputes arising out of or related to this agreement will be subject to the exclusive jurisdiction of the courts in the state of Jammu and Kashmir.

By agreeing to these terms and conditions, the client acknowledges their understanding of the scope of work, payment terms, and other provisions outlined in this agreement.
